Company Formation in Romania

We are an English run company situated in Romania and offer a comprehensive range of services including property acquisition, company formation, legal services and advice in Romania.

Romanian Law No: 54/1998 provides that "the citizen shall not be granted the ownership right for land but such a foreign citizen could establish a Company in Romania, in order to buy as much land as he wishes".

Essentially, Romanian companies are similar to most other European companies. They require shareholders and directors and a registered office. The ‘limited company’ has the same meaning as in other countries in that the liability of the shareholders is limited to the amount of share capital invested. This is protection for the shareholders, and at the same time indicates to other investors and traders the substance of the company. There are no restrictions for someone residing outside of Romania in acquiring a company in Romania.

In Romania it is required that a company specifies its main activity and is allocated a code number which relates to that particular activity. Other activities may be included at a later date. As elsewhere, a registered office is required, and we can provide this facility.

There are a number of other technicalities particular to Romania, but the function of Romtrade Consult SRL is to deal with these on behalf of the client to provide a fully legalized entity as simply and as quickly as possible.

We are pleased to announce that we can now offer a service to people overseas who are not able be in Romania to sign the formation papers.

By special arrangement with our lawyers and a Public Notary you can complete the documentation in your own country by post or courier service. In this way you do not have to be in Romania to sign the initial documents, and can do this in your own country. This way, you avoid the need to either stay in Romania throughout the formation process, or to make two separate trips here.

As this involves additional legal papers and translations by licensed interpreters, and extra legal and notary fees the charge is higher than usual, but of course saves on time and travel, and your company can be ready for you when you arrive in Romania to purchase land or property, or start in business.

In practice, our lawyers will send you all the necessary documentation, and full instructions, and all you need to do is complete the papers as indicated and return them. The total cost for this service is 1,750 euros. Please request the OVERSEAS APPLICATION FORM if you require this service. Our normal fee is 900 euros but you will have to be present in Romania for approximately 14 days in order to complete the formation process.

REGISTERED OFFICE FACILITY

We can provide a registered office facility in Romania.

This will be for the first three months after registration, after which clients should transfer the registered office address to their place of business. The charge for this facility for the initial three month period is 150 euros. If required, one can extend this initial three month period at a rate of 40 euros per month.

MAIL FORWARDING ETC

We can also provide a mail forwarding service, an email facility and fax service. We will quote separately for this depending on the country of origin of the principals.
